The agreement between you and Just: what you can do with the Services, what we promise, and what happens when something goes wrong.

Plain-English Summary

These Terms govern your use of Just Domain at https://justdomain.ai. The most important things to know:

  • We are a domain reseller, not an ICANN-accredited registrar. Your domain is registered through an upstream accredited registrar.
  • Domain registrations, transfers, and renewals are final and non-refundable once completed. See our Refund Policy for the limited exceptions.
  • Just Domain does not currently offer automatic renewal, and does not send renewal or expiry reminders. Your domain is registered for the term you pay for at checkout. Nothing renews it unless you ask us to.
  • You are responsible for keeping your contact information accurate and your account secure, and for renewing your domain before it expires.
  • You agree to comply with all ICANN policies and registry rules, including the Uniform Domain-Name Dispute-Resolution Policy (UDRP).
  • The Services are provided "as is", and our liability is capped at the amount you paid us in the 12 months before the claim.
  • These Terms are governed by the laws of the State of Delaware, United States, and disputes are heard in the state and federal courts located in Wilmington, Delaware.

1.Acceptance of Terms

These Terms of Service ("Terms") form a binding agreement between you ("you," "your," or "Customer") and Just Done LLC, a Delaware limited liability company operating as Just Domain ("Just," "we," "us," or "our").

By creating an account, placing an order, or using any part of the Services, you confirm that you have read, understood, and agree to these Terms, our Privacy Policy, and our Refund Policy (together, the "Agreement"). If you do not agree, you must not use the Services.

If you are entering into the Agreement on behalf of an organization, you represent that you have the authority to bind that organization and that "you" includes the organization.

2.Definitions

  • "Services": the domain name registration, transfer, renewal, management, DNS, and related services made available through https://justdomain.ai.
  • "Site": the website at https://justdomain.ai and any subdomains we operate.
  • "Account": your registered user account on the Site.
  • "Domain": a domain name registered, transferred, or otherwise managed through the Services.
  • "Accredited Registrar": a registrar accredited by ICANN or the relevant TLD operator that performs the underlying registration services for a Domain.
  • "Registry": the operator of a top-level domain (TLD) that maintains the authoritative database for that TLD.
  • "ICANN": the Internet Corporation for Assigned Names and Numbers.
  • "WHOIS Data": the contact information provided in connection with a Domain registration, as required by ICANN, the Accredited Registrar, and the Registry.

3.Eligibility

You may use the Services only if:

  • you are at least 18 years old and able to enter into a binding contract under the law applicable to you;
  • you are not barred from using the Services under any applicable law (including economic sanctions);
  • you provide accurate, current, and complete information; and
  • you comply with the Agreement and all applicable laws.

We may refuse to provide the Services or close any Account at our discretion, subject to applicable consumer-protection law.

4.Account Registration and Security

To use most of the Services you must create an Account. You agree to:

  • provide accurate, complete, and current information and keep it updated;
  • maintain the confidentiality of your credentials;
  • enable available security measures, including multi-factor authentication;
  • use a unique strong password and not share it;
  • notify us promptly at support@just-done.ai of any unauthorized use or security incident.

You are responsible for all activity under your Account, whether or not authorized. We are not liable for any loss arising from your failure to keep your credentials secure.

5.Our Role as a Domain Reseller

5.1 Reseller Status: No ICANN Accreditation

Just is a domain reseller. We are not an ICANN-accredited registrar and we do not present ourselves as one. When you order a Domain registration, transfer, renewal, or related service, we forward the order (and the underlying fees) to an ICANN-accredited Registrar partner we have selected, which performs the underlying registration with the relevant Registry. We may change Registrar partners from time to time without notice.

5.2 Agency and Limited Power of Attorney

You appoint us, and we act, solely as your limited agent and intermediary for the purpose of submitting and managing requests to the Accredited Registrar, the Registry, and ICANN on your behalf. You authorize us to (i) submit and process registration, transfer, renewal, modification, deletion, and contact-update requests on your behalf; (ii) transmit your WHOIS Data and other registration information to the Accredited Registrar, Registry, escrow providers, ICANN, and other parties as required by their policies or applicable law; and (iii) take such ancillary actions as are reasonably necessary to perform the Services.

5.3 Underlying Registration Agreement

You acknowledge and agree that:

  • the underlying domain registration agreement governing your Domain is between you and the Accredited Registrar, and your Domain is subject to that registrar's registration agreement and the registry's policies, in addition to these Terms;
  • the Accredited Registrar and the Registry are independent of us and operate under their own agreements, policies, fees, and timelines;
  • the identity of the Accredited Registrar handling your Domain may change from time to time without notice to you, and you authorize us to transfer your Domain and WHOIS Data to a different Accredited Registrar where we determine, in our sole discretion, that doing so is reasonably necessary to continue providing the Services;
  • upon request, we will identify to you the Accredited Registrar currently handling your Domain;
  • we have no control over, and no liability for, any act or omission of the Accredited Registrar, the Registry, ICANN, escrow agents, or any other third party in the registration chain;
  • your sole recourse for any matter arising from the actions or inaction of the Accredited Registrar, the Registry, or ICANN is against that party directly, and not against us;
  • you are independently bound by the agreements and policies of the Accredited Registrar, the Registry, and ICANN that apply to your Domain, as those agreements and policies may be amended from time to time by those parties, and we are not responsible for changes made by them.

5.4 Registrants' Benefits and Responsibilities

ICANN publishes a "Registrants' Benefits and Responsibilities Specification" describing your rights and obligations as a registrant of a generic top-level domain. You acknowledge that you have read, or have had the opportunity to read, those Benefits and Responsibilities, available at: icann.org/resources/pages/benefits-2013-09-16-en.

5.5 NIS 2 and Other Sectoral Compliance

Where the EU Network and Information Security Directive (Directive (EU) 2022/2555, "NIS 2") or any equivalent law applies to you or to a Domain you register through us, you are responsible for your own compliance, including any obligation to provide accurate registration data and to cooperate with competent authorities. We may collect, verify, and disclose registration data as required by NIS 2 and similar laws.

5.6 Scope of the Services Today

The Services we currently make available are: domain availability search; domain registration for the term you select and pay for at checkout; DNS record and nameserver management; registrant contact updates; self-service renewal of a Domain; an optional automatic-renewal setting you control; and service email about a Domain in your account, including notice before an automatic-renewal charge.

Automatic renewal.Automatic renewal applies only to a Domain for which you have enabled it. Where it is enabled, you authorise us to charge the payment method you have saved for the renewal of that Domain, and we will charge it approximately 30 days before the registrar's renewal date for that Domain. Before that charge we will send you notice stating the renewal term, the amount, the frequency of renewal and the date by which you may turn automatic renewal off. Renewal prices are set by the registry and may change; the amount stated in that notice is the amount we will charge. You may turn automatic renewal off at any time before the charge, from your dashboard, without contacting us. Where automatic renewal is not enabled, we will not charge you again unless you place a new order and complete a new payment.

The following are not currently available and are not part of the Services: inbound or outbound domain transfers; transfer lock; and self-service account closure.

Where you want something in that second list, contact us at support@just-done.ai and we will use reasonable efforts to carry it out manually. We do not commit to a response time and we do not guarantee that any such request can be completed.

This Section describes the Services as at the "Last Updated" date at the top of these Terms. Nothing in these Terms obliges us to build, launch, or continue any function that is not listed as available above.

6.Domain Registration, Transfer, and Renewal

6.1 Order Submission

When you submit an order, you authorize us to attempt the registration, transfer, or renewal of the requested Domain on your behalf and to charge the applicable fees.

6.2 No Guarantee of Availability or Search Results

A Domain is not registered to you until the relevant Registry confirms the registration. The availability shown on the Site at the moment of search is indicative only and is not a reservation; another customer or registrar may register the Domain before your order completes, the Registry may reject the order for any reason, certain TLDs may impose additional eligibility checks (residency, trademark, profession, age, sunrise rules), and pricing or fees may change between the search and the registration. We make no warranty as to the accuracy or completeness of any search results, suggestion, availability indicator, premium-pricing display, or third-party data shown on the Site, and you assume all risk of relying on such information. If a registration is rejected by the Registry, we will issue a refund for the affected fees as described in the Refund Policy.

6.3 No Trademark, Eligibility, or Legality Check

We do not conduct trademark searches, eligibility checks, sanctions screening, naming-rule reviews, or legality assessments before processing your order. You are solely responsible for ensuring that your selection, registration, and use of any Domain does not infringe any third-party right, does not violate any law or registry policy, and meets all eligibility requirements for the relevant TLD. Display of a Domain as available, or our processing of an order, is not a representation that you are entitled to register or use it.

6.4 Domain Transfers

We do not currently offer inbound or outbound domain transfers as a self-service function (see Section 5.6). If you want to transfer a Domain to us, or to move a Domain you registered through us to another registrar, contact us at support@just-done.ai and we will use reasonable efforts to process the request manually with the Accredited Registrar. We do not commit to a timeframe.

Where we do process a transfer: an inbound transfer requires a valid authorization (EPP) code from your current registrar and the Domain to be unlocked, and may require additional verification; and any transfer is subject to ICANN's Transfer Policy and any applicable Registry rules. We will not unreasonably refuse a request to transfer a Domain away from us, but we may decline where required by ICANN, the Registry, the Accredited Registrar, or applicable law.

6.5 Domain Modifications

You may submit DNS changes, contact updates, name-server updates, and similar requests through your Account. Some changes are subject to verification, lock periods, or fees imposed by the Registry.

7.WHOIS Data and Customer Obligations

You represent and warrant that the WHOIS Data you provide is accurate, current, and complete, and you agree to update it within seven (7) days of any change. Providing inaccurate WHOIS Data, or failing to respond to a verification request, is grounds for suspension or cancellation of the Domain by the Accredited Registrar or Registry, in accordance with ICANN policies.

You acknowledge that some or all of the WHOIS Data may be:

  • published in public WHOIS / RDAP directories;
  • transmitted to ICANN, escrow providers, the Registry, and other parties as required by ICANN policies;
  • retained for periods required by ICANN, the Registry, or applicable law, including after the Domain expires or is transferred away.

On every TLD that supports it, we enable WHOIS privacy/proxy at no additional charge and on by default: your registrant contact details are replaced by a privacy proxy in the public WHOIS / RDAP record. A minority of TLDs do not permit WHOIS privacy under the applicable registry policy (for example, .ai, .us, .eu, and .dev); for those, your details are handled according to the registry's own public-WHOIS rules and we make no privacy-masking claim. In all cases, your accurate registrant data is still collected and held by us, the accredited registrar, and the registry as ICANN requires; WHOIS privacy governs only what is displayed in the public WHOIS / RDAP record, not what we are required to collect and retain.

You also represent that the registration and use of the Domain does not infringe the rights of any third party (including trademark rights), does not violate any law, and is not made for any unlawful purpose.

8.ICANN, Registry, and Dispute Policies

8.1 Binding Policies

By registering, transferring, or renewing a Domain, you agree to be bound by, and comply with, all applicable policies, as they may be amended from time to time by ICANN, the Accredited Registrar, or the Registry, including without limitation:

  • the ICANN Registrar Accreditation Agreement and consensus policies, including the Registrants' Benefits and Responsibilities Specification (icann.org/resources/pages/benefits-2013-09-16-en);
  • the Uniform Domain-Name Dispute-Resolution Policy (UDRP) and the Uniform Rapid Suspension System (URS), where applicable;
  • the Transfer Policy and the Expired Registration Recovery Policy;
  • the Registrar Information Specification ("WHOIS") and Temporary Specification or successor policies governing registration data;
  • any policies adopted by the relevant Registry, including TLD-specific eligibility, naming, sunrise, and use policies;
  • the Accredited Registrar's own auto-renewal and domain-deletion policy, which applies to the underlying registration, which we will provide on request and which may be replaced or amended at any time;

8.2 Dispute Resolution

You agree to submit to the dispute-resolution procedures set out in those policies. We are not a party to any UDRP, URS, or similar proceeding involving your Domain, and we will follow any decision rendered under those procedures or any order issued by a court or other competent authority without further notice or liability to you.

8.3 Acknowledgment

You confirm that you have read, or had the opportunity to read, the ICANN Registrants' Benefits and Responsibilities and the policies referenced above before entering into this Agreement, and that you accept them.

9.Renewal and Expiration

9.1 No Automatic Renewal

A Domain registered through us is registered for the term you selected and paid for at checkout, and for that term only. We do not automatically renew any Domain, and we do not store a payment method that would allow us to do so. Nothing will be charged to you after checkout unless you place a new order and complete a new payment.

9.2 Renewal Is Your Responsibility, and We Send No Reminders

You are solely responsible for tracking your Domain's expiration date and for renewing it before it expires. We do not send renewal reminders, expiration notices, or any other notice that a Domain is approaching or has passed its expiration date, and we are under no obligation to you to send one. Record your expiration date independently. Do not rely on us to prompt you.

We do not currently offer a self-service renewal. If you want to renew a Domain, contact us at support@just-done.ai before the expiration date and we will use reasonable efforts to arrange the renewal with the Accredited Registrar, at the price then charged by the Registry and the Accredited Registrar plus our fee. We do not commit to a response time and we do not guarantee that a renewal can be completed, including where a request reaches us close to or after the expiration date.

9.3 What Happens at Expiration

If a Domain is not renewed before its expiration date, it will normally stop resolving at or shortly after expiration, and any website, email, or other service that depends on that Domain will stop working. The Domain then enters the grace and redemption periods established by the Registry. During those periods it may be possible to renew or restore the Domain, subject to additional fees set by the Registry and the Accredited Registrar; a restoration during the redemption period typically costs substantially more than a renewal. After those periods the Domain is released by the Registry and may be registered by any other party. The length of each period is set by the Registry for the relevant TLD and is outside our control.

We are not liable for the loss of a Domain due to non-renewal, for any interruption of a website, email, or other service that depends on an expired Domain, or for any consequence of such loss or interruption.

10.Fees, Taxes, and Payment

10.1 Pricing

Prices are displayed on the Site at the time of order. Prices include (or exclude, as indicated) applicable taxes. We may change prices at any time; changes apply only to orders placed after the change is effective.

10.2 Payment

You authorize us, our payment processors, and any successor providers to charge the payment method you provide at checkout for the fees applicable to that order. We do not store your payment method for future use and we do not charge you on a recurring basis. If we introduce recurring or automatic charges in the future, we will disclose the terms and obtain your consent before any such charge is made. If a charge is declined or reversed, we may suspend the affected Services until payment is received.

10.3 Currency, Bank Fees, and Exchange Rates

Charges are in the currency stated at checkout. Your bank or card issuer may apply foreign-transaction or currency-conversion fees, which are your responsibility.

10.4 Taxes

You are responsible for any taxes applicable to your purchase that are not collected by us, including, where applicable, VAT, sales tax, withholding tax, and similar charges. Where we are required by law to collect taxes, we will add them to your invoice.

10.5 Late Payment

Past-due amounts may bear interest at the maximum rate permitted by law and we may suspend or terminate Services until balances are paid.

11.Refunds

Refunds are governed by our Refund Policy. In summary, Domain registrations, transfers, and renewals are final and non-refundable once completed, with limited exceptions (such as failed registrations, billing errors, and statutory consumer rights). The Refund Policy is incorporated into these Terms by reference.

12.Acceptable Use

You agree not to, and not to permit any third party to:

  • use the Services in violation of any applicable law, regulation, ICANN policy, or Registry policy;
  • register or use a Domain that infringes the intellectual-property rights of any third party, including trademark rights, or that is registered for the purpose of selling, renting, or transferring it to a trademark owner ("cybersquatting");
  • use the Services to send unsolicited bulk or commercial messages ("spam"), distribute malware, conduct phishing, host child sexual abuse material, or engage in fraud or other deceptive practices;
  • use the Services to attack, scan, probe, or interfere with any network or system, including the Site, or to circumvent security or rate limits;
  • impersonate another person or misrepresent your affiliation with any person or entity;
  • resell, sublicense, or otherwise make the Services available to third parties on a commercial basis without our prior written consent;
  • reverse engineer, decompile, or attempt to derive the source code of any part of the Services, except to the extent permitted by law;
  • use automated means to access the Services in a manner that disrupts or degrades them;
  • use the Services to register Domains in bulk for speculative or abusive purposes; or
  • otherwise abuse the Services or harm us, other users, or third parties.

We may investigate and take appropriate action (including suspending or terminating Services and Accounts) in response to suspected violations.

13.Suspension and Termination

13.1 By You

You may stop using the Services at any time and may close your Account by contacting support@just-done.ai. Closing your Account does not entitle you to a refund except as described in the Refund Policy and does not relieve you of obligations arising before termination.

13.2 By Us

We may suspend or terminate your access to all or part of the Services, with or without notice, if:

  • you breach the Agreement or violate any applicable law or ICANN/Registry policy;
  • we detect fraud, abuse, or a security risk;
  • a payment is reversed, charged back, or unpaid;
  • we are required to do so by ICANN, a Registry, the Accredited Registrar, a court order, or applicable law;
  • continuing to provide the Services would expose us to legal or regulatory risk.

13.3 Effect of Termination

On termination, your right to use the Services ends. Surviving Sections include those that by their nature should survive (including Sections 7, 8, 10, 13, 14, 16, 17, 18, 21, and 25).

13.4 No Refunds for Termination Due to Breach

If we terminate Services because of your breach, fraud, abuse, or non-payment, you are not entitled to a refund of fees already paid.

14.Intellectual Property

14.1 Our IP

The Site, the Services, our trademarks (including "Just" and "Just Domain"), our software, content, and design are owned by us or our licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your own internal use, in accordance with the Agreement.

14.2 Your IP

You retain all rights in the content you submit through the Services. You grant us a worldwide, royalty-free, non-exclusive license to host, store, transmit, and display your content solely as needed to provide the Services and to comply with legal obligations.

14.3 Feedback

Any feedback or suggestions you provide may be used by us without restriction or compensation to you.

15.Third-Party Services

The Services may integrate with, link to, or rely on services provided by third parties, including the Accredited Registrar, the Registry, payment processors, hosting and security providers, analytics providers, and email providers. Your use of those services may be subject to additional terms imposed by the relevant third party. We are not responsible for the acts, omissions, content, or terms of any third party.

16.Disclaimers

Except as expressly provided in the Agreement and to the maximum extent permitted by applicable law, the Services, the Site, and any data, output, or result made available through them are provided "as is," "as available," and "with all faults", without warranties or conditions of any kind, express or implied, including implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, accuracy, title, non-infringement, quiet enjoyment, and any warranty arising out of course of dealing or usage of trade.

Without limiting the foregoing, we do not warrant, represent, or guarantee that:

  • the Services or the Site will be uninterrupted, secure, timely, or error-free, or that defects will be corrected;
  • any Domain you request will be available, registrable, registered, maintained, transferred, renewed, or restored;
  • the result of any availability search, suggestion engine, premium-pricing display, WHOIS lookup, or third-party data shown on the Site is accurate, complete, current, or free of error;
  • a Domain you register is free of third-party rights (including trademark, trade name, personality, or copyright rights), is permitted under the law applicable to you or to the registrant, satisfies any TLD-specific eligibility rule, or will be free of dispute or challenge;
  • a Domain registered through us will be retained by you indefinitely; the Domain may be suspended, transferred, deleted, or revoked by the Accredited Registrar, the Registry, ICANN, or a court or arbitral panel under the UDRP, URS, or similar procedure, by an order of any competent authority, or under registry policy, without any liability of ours;
  • any DNS, email, hosting, security, or other service provided by us, the Accredited Registrar, the Registry, or a third party will resolve, deliver, perform, or be free of outage, latency, blocklisting, or filtering;
  • the Services or the Site will meet your requirements or operate in any combination with your hardware, software, network, or third-party service;
  • any data transmitted through or stored by the Services will be free of loss, corruption, interception, or unauthorized access.

You assume all risk for the selection, registration, configuration, content, security, monitoring, and use of any Domain, DNS record, or related service. You are solely responsible for ensuring that your registration and use of any Domain complies with all laws, ICANN policies, registry policies, and third-party rights, and for backing up any data you transmit to or store on our systems.

We are not responsible for the acts, omissions, outages, suspensions, deletions, policy changes, fee changes, audit decisions, sanctions actions, or any other conduct of any Accredited Registrar, Registry, ICANN, escrow agent, payment processor, hosting provider, security vendor, dispute-resolution provider, or other third party, even if such party is referenced or recommended on the Site.

17.Limitation of Liability

To the maximum extent permitted by applicable law:

(a) In no event will we or our affiliates, officers, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, business, use, data, or for the value of, or loss of, any Domain or any business built on a Domain, arising out of or related to the Agreement or the Services, even if we have been advised of the possibility of such damages or if such damages were foreseeable;

(b) Our total aggregate liability arising out of or related to the Agreement or the Services, from any cause of action and under any theory of liability (contract, tort including negligence, statute, or otherwise), will not exceed the greater of (i) the total fees you paid to us in the 12 months immediately preceding the event giving rise to the claim, or (ii) USD 100;

(c) In particular, and without limiting subsections (a) and (b), we will not be liable for any damages or losses arising out of or related to:

  • the acts, omissions, outages, suspensions, deletions, policy changes, fee changes, or other conduct of any Accredited Registrar, Registry, ICANN, escrow provider, payment processor, hosting provider, security vendor, certificate authority, or other third party;
  • the outcome of any UDRP, URS, court, arbitral, regulatory, or law-enforcement proceeding concerning your Domain, including the suspension, transfer, or deletion of the Domain pursuant to such proceeding;
  • the loss of a Domain due to non-renewal, registry expiration, redemption-period expiration, or your failure to maintain accurate WHOIS Data;
  • a third party's infringement, abuse, or misuse routed through DNS records you control through us, or content hosted at a Domain you registered through us;
  • our good-faith action in response to an abuse report, takedown notice, court order, regulatory request, or law-enforcement request;
  • changes to ICANN policies, registry policies, or accredited-registrar policies that affect your Domain or the Services;
  • any failure to send a renewal, expiration, or other notice that we are not legally required to send.

These limitations apply even if a limited remedy fails of its essential purpose. Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions our liability is limited to the maximum extent permitted by law.

Nothing in the Agreement excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that may not be excluded under the law applicable to you.

Time Bar. To the maximum extent permitted by applicable law, any claim, action, or proceeding arising out of or related to the Agreement or the Services must be commenced within one (1) year after the cause of action accrued; thereafter, such claim is permanently barred. This Section does not apply to consumers to the extent it would be unenforceable under mandatory consumer-protection law applicable to the consumer.

18.Indemnification

You will defend, indemnify, and hold harmless Just, our affiliates, and our and their officers, directors, employees, agents, contractors, and licensors (each, an "Indemnitee") from and against any and all third-party claims, demands, investigations, losses, liabilities, damages, fines, penalties, costs, and expenses (including reasonable attorneys' fees, court costs, expert fees, and any fees, costs, or awards in UDRP, URS, court, arbitral, regulatory, or similar proceedings) arising out of or related to:

  • your use of, or inability to use, the Services or any Domain;
  • your breach of the Agreement, any law, any ICANN policy, any Registry policy, or any policy of the Accredited Registrar;
  • any claim that your Domain, content, DNS records, traffic, or use of the Services infringes or misappropriates any third-party right, including trademark, copyright, patent, trade-secret, personality, privacy, or publicity rights;
  • any UDRP, URS, court, arbitral, regulatory, or law-enforcement proceeding concerning your Domain, including all costs, fees, and awards;
  • any abuse, fraud, malware, phishing, spam, or other harmful conduct at, through, or attributed to your Domain or DNS records, including any damages claimed by victims;
  • any claim by an end user, customer, employee, or counterparty of yours arising out of services you provide using a Domain registered through us;
  • any inaccuracy in your WHOIS Data or your failure to update it;
  • any tax, duty, or governmental charge for which you are responsible under the Agreement;
  • our good-faith action taken in response to an abuse report, takedown notice, subpoena, court order, regulatory request, law-enforcement request, or perceived violation of the Acceptable Use Policy.

We may, at our option and at your expense, assume the exclusive defense and control of any matter for which you are required to indemnify us. You agree to cooperate fully in our defense and not to settle any claim that imposes any obligation on, or admits any liability of, an Indemnitee without our prior written consent. This indemnity is in addition to, and does not limit, any other right or remedy available to us.

19.Modifications to the Services

We may modify, add, or discontinue any part of the Services at any time. Where a modification materially reduces the functionality of a paid Service that you are currently using, we will use commercially reasonable efforts to notify you and, where appropriate, provide a substitute or pro-rata refund.

20.Modifications to These Terms

We may update these Terms from time to time, including to reflect changes to our Services, our service providers, our business practices, or applicable law. When we update the Terms, we will revise the "Last Updated" date at the top and post the updated Terms on the Site. The updated Terms take effect immediately upon posting unless a later effective date is stated.

For non-material changes (including clarifications, corrections, formatting and structural updates, the addition or replacement of service providers within an existing category, expanded explanations of existing practices, and updates required to comply with applicable law), we will not provide individual notice. The change becomes effective when posted, and you are responsible for periodically reviewing these Terms.

Where we make material changes that materially expand your obligations or materially reduce your rights, we will provide additional notice (for example, by email, an in-product notification, or a banner on the Site) where and to the extent required by applicable law, with reasonable advance notice before the change takes effect.

Your continued use of the Services after the effective date of any update constitutes your acceptance of the updated Terms, to the fullest extent permitted by applicable law. If you do not agree, you must stop using the Services.

21.Governing Law and Jurisdiction

The Agreement, and any dispute arising out of or relating to it or the Services, is governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. The 1980 United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.

The state and federal courts located in Wilmington, New Castle County, Delaware have exclusive jurisdiction over any dispute arising out of or relating to the Agreement or the Services, and you and we irrevocably submit to that jurisdiction. Notwithstanding the foregoing, we may bring an action for injunctive or equitable relief in any court of competent jurisdiction to protect our intellectual-property rights or confidential information.

This Section does not deprive consumers of the protection of mandatory provisions of the law of the country in which they reside, including the right to bring proceedings before the courts of that country to the extent required by such mandatory provisions.

22.Force Majeure

We are not liable for any failure or delay in performance, or for any non-performance, caused by circumstances beyond our reasonable control, including: acts of God; war, armed conflict, terrorism, sabotage, riot, civil unrest, or insurrection; epidemic, pandemic, or public-health emergency; government, regulatory, judicial, or sanctions action; labor disputes or strikes; internet, telecommunications, electricity, or DNS resolution failures; outages, suspensions, deletions, audits, sanctions, fee changes, technical changes, policy changes, registry-lock changes, contract terminations, or any other actions or omissions of ICANN, any Registry, any Accredited Registrar, any escrow agent, any payment processor, any hosting, security, analytics, email, AI, or other service provider, or any upstream telecommunications or infrastructure provider; cyber-attacks, including DDoS, ransomware, or supply-chain attacks; natural disasters; and any other event of similar nature. The time for performance will be extended for the duration of the event, and we will use commercially reasonable efforts to mitigate the impact.

23.Notices

We may give you notice by email to the address on your Account, by posting on the Site, or through your Account dashboard. You may give us notice at support@just-done.ai. Notices are deemed received when sent (for email) or when posted (for the Site).

24.Assignment

You may not assign or transfer the Agreement, by operation of law or otherwise, without our prior written consent. Any unauthorized assignment is void. We may assign the Agreement, in whole or in part, without your consent, including in connection with a merger, acquisition, financing, reorganization, or sale of assets.

25.Severability and Waiver

If any provision of the Agreement is held to be invalid or unenforceable, the remaining provisions remain in full force, and the invalid provision will be replaced by an enforceable provision that most closely reflects the parties' original intent. Our failure to enforce any provision is not a waiver of our right to enforce it later.

26.Entire Agreement

The Agreement (these Terms, the Privacy Policy, the Refund Policy, and any order forms or additional terms presented at the point of sale) constitutes the entire agreement between you and us with respect to the Services and supersedes all prior or contemporaneous communications and proposals on the subject. In the event of a conflict, the order of precedence is: (1) any signed written agreement between you and us; (2) order forms or additional terms presented at the point of sale; (3) these Terms; (4) the Refund Policy; (5) the Privacy Policy.

27.Consumer Rights

If you are a consumer, nothing in the Agreement is intended to limit or exclude your statutory rights under the consumer-protection laws applicable to you, including:

  • the Israeli Consumer Protection Law, 5741-1981, where you reside in Israel;
  • the EU Consumer Rights Directive (2011/83/EU) and its national implementations, where you reside in the European Economic Area;
  • analogous consumer-protection laws in other jurisdictions.

To the extent that any provision of the Agreement conflicts with a mandatory provision of consumer-protection law applicable to you, the mandatory provision will prevail to the minimum extent necessary.
